Univercell Holdings, Inc. provided international cellular phone rentals and sales to companies and individuals traveling overseas. In March 2005, the Company sold its sole operating subsidiary, Univercell Global Phone rentals, which held substantially all of its assets. Subsequently, Univercell Holdings, Inc. continued without material business assets, operations or revenues. As of December 31, 2005, the Company had no operations. Univercell Holdings, Inc. is seeking a target company, with which to merge or to complete a business combination. On December 25, 2005, the Company entered into a letter of intent to acquire Daytona Brands, Inc. UniverCell Holdings, Inc. is engaged in the rental and sale of cellular phones to companies and individuals traveling overseas.
